1. Scope and use of this website

These Terms & Conditions govern your access to and use of the SharePulse website, its company research pages, stock filters, IPO information, financial metrics and related content (collectively, the 'Website'). In these terms, 'SharePulse', 'we' and 'our' refer to the operator of the Website; 'you' refers to any person accessing or using it.

Please read these terms before using the Website. By continuing to use the Website, you agree to these terms to the extent permitted by applicable law. If you do not agree, discontinue use. These terms do not override any mandatory legal protection available to you.

2. Information only; no personalised advice

The Website provides general information for educational purposes and independent research. It does not provide personalised investment, financial, tax, accounting or legal advice. Information displayed on the Website does not take into account your financial circumstances, investment objectives, experience, time horizon or capacity to absorb losses.

The inclusion of a company or IPO, a filter result, financial ratio, ranking, comparison or other metric is not a recommendation, endorsement, trading signal, solicitation or offer to buy, sell, hold or subscribe to a security. Using this Website does not create an investment-advisory, fiduciary, broker-client or portfolio-management relationship.

No regulatory approval, registration or endorsement should be inferred from the Website's name, presentation, use of market data or references to regulators and exchanges. Verify the credentials of any professional adviser independently.

3. Non-live data and scheduled updates

SharePulse displays stored data obtained through periodic updates. It is not a live price terminal, real-time exchange feed or order-execution service. Figures can be different from current market conditions when you view them.

Refreshes occur periodically; this does not guarantee that every item will be current or that an update will finish at a particular time. A refresh can run in multiple batches. Operational retries, corrections and additional updates may occur at other times.

Provider publication delays, access restrictions, rate limits, connectivity failures, maintenance and other interruptions may delay or prevent updates. During a partial or unsuccessful refresh, the Website may continue showing previously stored records. Different companies, fields and IPOs may therefore have different update times.

A 'last updated' or fetch timestamp indicates when a record was retrieved or processed; it does not mean that the underlying financial statement was published at that time or that a price is currently executable. Annual and quarterly results relate to their stated reporting periods. If a timestamp is absent or unclear, do not assume that the information is recent.

4. Sources, calculations and accuracy

Company fundamentals and IPO information are obtained from third-party data services, including Upstox. We may organise, normalise, round or calculate values from that information. Source attribution does not imply that a provider endorses SharePulse or any investment decision.

Some metrics are estimates derived from available fundamentals. For example, a displayed market-capitalisation figure may be calculated from net profit and P/E, or equity and P/B, rather than a current exchange quote. Differences in reporting dates, consolidated and standalone accounts, units, rounding and calculation methods may affect comparisons.

We aim to present useful information but do not warrant that all content is accurate, complete, current or free of errors. Financial statements may be revised or restated, and records may be missing or inconsistent. 'N/A', blank fields and unavailable values must not be interpreted as zero or as evidence that a risk does not exist.

Before relying on a figure, check the original company announcement, audited financial statement, exchange filing, offer document or another authoritative source, as appropriate.

5. Your investment decisions and responsibilities

You are responsible for your own investment research, decisions and transactions. Do not rely blindly on SharePulse or treat any displayed figure as sufficient justification for buying or selling stocks or applying for an IPO.

Independently confirm the security's identity, current market price, financial position, relevant announcements, liquidity and risks. Assess whether an investment is suitable for your objectives and financial circumstances. Obtain professional advice where appropriate, including advice from a SEBI-registered investment adviser for personalised securities-investment guidance.

SharePulse does not execute your trades, manage your money or promise to monitor your holdings. You are responsible for instructions placed with brokers or other intermediaries, and for related charges, taxes and compliance obligations.

6. Market risk and absence of guaranteed returns

Investments in securities involve risk. Prices and valuations can fluctuate substantially because of company performance, economic conditions, interest rates, regulation, market sentiment, liquidity and events that cannot be predicted. You may lose part or all of your investment. Borrowing to invest or using leverage can magnify losses and may create obligations beyond your initial funds.

Past performance, historical growth, favourable financial ratios and illustrative calculations do not guarantee future performance. SharePulse makes no assurance of profit, capital protection, a target return, an exit opportunity or recovery of losses.

7. IPO-specific caution

IPO opening and closing dates, price bands, issue sizes, subscription figures, allotment information and listing dates may change. A displayed status may become outdated between refreshes. An IPO appearing on SharePulse does not mean it is suitable, approved, fairly priced or likely to generate a listing gain.

Read the applicable prospectus, red herring prospectus and risk factors. Confirm current details with the issuer, exchange, registrar or authorised intermediary before applying. Allotment is not guaranteed, and a security can list or trade below its issue price.

8. Website availability and third-party services

The Website and its content are provided on an 'as is' and 'as available' basis, subject to rights and obligations imposed by applicable law. Access, features and updates may be interrupted, modified or discontinued. We do not guarantee uninterrupted access, a particular level of availability or correction of every error within a specified period.

Links to third-party websites and documents are provided for convenience. Those services operate under their own terms and privacy practices. We do not control their content, availability or security, and linking to them does not amount to endorsement.

9. Limitation of liability

To the fullest extent permitted by applicable law, SharePulse and its operator are not responsible for investment or trading losses arising from your reliance on information displayed on the Website. This includes losses associated with decisions to buy, sell, hold or subscribe to securities based on delayed, incomplete, inaccurate, unavailable or misunderstood information.

To the extent legally permitted, SharePulse and its operator exclude liability for loss of profits, anticipated returns, business opportunities or data, and for indirect, incidental, consequential or special losses arising from use of, reliance on, or inability to access the Website, including interruptions affecting third-party services.

These exclusions are not absolute. Nothing in these terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited. Nothing removes any non-waivable consumer right, statutory remedy or other protection under applicable law. Where the law requires a duty, remedy or standard of care, that requirement prevails.

10. Permitted use and intellectual property

You may access the Website for lawful information and research purposes. You must not attempt unauthorised access, interfere with the Website's operation, bypass access controls, introduce malicious software, or use automated requests in a way that materially disrupts the service.

The Website's branding, original content and design, and third-party datasets and materials, remain subject to the rights of their respective owners. Access does not grant ownership or an unrestricted licence to copy, resell, redistribute or commercially exploit protected material. Any use must comply with applicable intellectual-property law and relevant permissions. Rights expressly allowed by law are preserved.

11. Changes to content and these terms

We may correct content, change available features or revise these terms as the Website develops. Updated terms will be published on this page with a revised date. Review this page periodically. Changes apply prospectively, subject to any notice or consent requirements under applicable law; they do not retrospectively remove accrued statutory rights.

The data-refresh schedule described above may also change. Any published schedule remains subject to operational interruptions and the qualifications in section 3.

12. Applicable law and interpretation

These terms are intended to be governed by the laws of India, subject to any mandatory law or jurisdiction that applies to you. Disputes may be brought before a court or other forum having jurisdiction under applicable law. These terms do not require you to give up access to a legally available consumer forum or statutory remedy.

If a provision is found invalid or unenforceable, it will apply only to the extent legally permitted, and the remaining provisions will continue to apply where possible. A failure to enforce a provision on one occasion does not by itself waive the right to enforce it later.

13. Final investor acknowledgement

By using SharePulse, you acknowledge that its content is periodically refreshed information, that securities investment carries risk, and that no return or outcome is guaranteed. Use the Website as one input to your research, independently verify material facts and take responsibility for your investment choices, subject always to the legal rights preserved above.
